The Derevo.ua portal is an industry trading platform that allows users to search, buy and sell products anywhere in the world. Derevo.ua is also a communication platform for posting temporary ads from individuals.
1.1. The following text is the Agreement between the Seller and the user of the portal services, regardless of status (individual, legal entity, individual entrepreneur), hereinafter referred to as the “Buyer”.
1.2. This Agreement defines the conditions for the purchase of goods, hereinafter referred to as the “Goods”, by the Buyer through the Seller's online store.
1.3. The Agreement is public in accordance with Art. 633 and Art. 641 of the Civil Code of Ukraine and is the equivalent of an “oral agreement” and has due legal force.
1.4. In accordance with Art. 642 of the Civil Code of Ukraine, the full and unconditional acceptance of the terms of this offer agreement, which confirms the conclusion of the Agreement on the proposed terms, is the fact that the Buyer has paid the cost of the ordered service.
1.5. In this offer, unless the context requires otherwise, the following terms have the following meanings:
2.1. When creating an account, the User must provide accurate information about himself and his company. The User must also fill out the appropriate forms in the Derevo.ua personal account and keep this information up to date.
2.2. Derevo.ua has the right to ask for confirmation of the relevant data specified by the User during registration, as well as to ask for supporting documents.
2.3. In case the User provides false information, or if the User is unable to comply with the Terms of Use or any additional conditions, the Derevo.ua portal has the right to suspend or cancel the User's account and terminate the provision of services.
2.4. The User may not use the password or account of another User without the special permission and consent of the owner of this account. Also, the User must immediately notify the support service of the Derevo.ua portal (support@derevo.ua) of any security breach or unauthorized use of the User's account. The administration of the Derevo.ua portal shall not be liable for any damages caused by the unauthorized use of the User's account.
3.1. The User has the right to require the Seller to fully and properly fulfill the terms of this Agreement.
3.2. The User has no right to transfer, assign, sell, lease, etc. their login and password to access the User's account, as well as the rights to the Website, to third parties without the consent of the Portal Administration. In case of transfer of the login and password or rights to the User's account to any third party, the User shall bear all responsibility for the actions of such third party thereafter.
3.3. The User undertakes to use the Marketplace/Site only for lawful purposes, to comply with the current legislation of Ukraine, as well as the rights and legitimate interests of the Marketplace Owner.
3.4. Before entering into this Agreement, carefully read its content and terms, as well as familiarize yourself with the cost of the service offered for sale on the Derevo.ua portal, the methods and procedure for its payment.
4.1. The administration of the Derevo.ua portal undertakes to ensure that the User can receive the Services in the manner prescribed by this Agreement.
4.2. The administration of the Derevo.ua portal has the right to place advertising and/or other information in any section of the portal without the consent of the User.
4.3. The administration of the Derevo.ua portal undertakes to provide the User with the opportunity to receive consultations from the support service in case the User provides identification data. The scope of consultations is limited to specific issues related to the provision of the Services.
4.4. The administration of the Derevo.ua portal has the right to moderate all the Content of the Commodity Items for compliance with the requirements of this Agreement, the Rules for posting information on the portal, the rules for publishing reviews and the current legislation of Ukraine, and in case of violations, at any time at its discretion, to remove such information from the portal without giving any reason.
4.5. In the event that the Administration of the Derevo.ua portal receives information about the illegal activities of the User, in order to ensure the safety of Users and the operation of the portal, as well as to prevent and suppress fraudulent activities on the portal, it has the right to unilaterally suspend, restrict or terminate the access of such User to any of the Services of the Derevo.ua portal at any time and/or terminate the agreement unilaterally.
4.6. The Administration of the Derevo.ua portal has the right to delete any data and information contained in the User's Account, as well as to terminate such Account, provided that the User has not logged in to the Account by login and password for more than 360 calendar days before the date of data deletion.
5.1. On issues arising in connection with the conclusion, execution and termination of this Agreement and not regulated by it, the Parties undertake to be guided by the norms of the current legislation of Ukraine, in particular the provisions of the Civil Code of Ukraine, the Commercial Code of Ukraine and the Law of Ukraine “On Electronic Commerce”
5.2. If any provision of this Agreement becomes invalid, this shall not affect the validity of the remaining provisions of the Agreement. In this case, the Parties shall, as far as possible, try to agree on the replacement of the invalid provision with new valid provisions that allow to achieve the original intentions of the Parties as much as possible.
5.3. The Parties undertake to keep confidential the confidential information and trade secrets that they have become aware of in connection with the fulfillment of the terms of the Agreement, not to disclose confidential information and trade secrets of the other Party, and not to use the relevant information in their own interests or the interests of third parties.
5.4. The Parties shall be solely responsible for the completeness and accuracy of the details provided by them in the documents. The Parties shall immediately notify each other of any change of name, legal form, location (place of residence), correspondence addresses, telephone numbers, e-mail addresses, bank and other account details. In case of failure to notify, the guilty Party shall bear the risk of related adverse consequences (including tax consequences).
